Ultimate Beneficial Owner (UBO) rules require UAE companies to identify and record the real people who ultimately own or control the business. This is a cornerstone of the country’s anti-money-laundering (AML) framework, and it is checked at key moments such as opening a bank account, completing an audit or renewing a licence. Keeping an accurate UBO register is now a standard part of running a compliant UAE company.
A UBO is a natural person who ultimately owns or controls a company. In practice this generally means an individual who owns or controls 25% or more of the shares or voting rights, or who exercises control by other means. Because ownership can be held through layers of companies, identifying the UBO sometimes means looking through intermediate entities to the real person at the top.
