The UAE’s Economic Substance Regulations (ESR) require companies that carry out certain “relevant activities” to demonstrate real economic presence in the country. If your entity earns income from one of these activities, it must file with the authorities and show that genuine operations, not just a paper presence, sit behind that income. Meeting these obligations correctly protects both your licence and your reputation.

Entities within scope must submit an annual ESR notification. Where the entity also earns income from the relevant activity, it must file an economic substance report and satisfy the substance test. In practice, the substance test looks at whether the business has adequate qualified staff, adequate operating expenditure, and adequate physical premises in the UAE to carry out its core income-generating activities here.

The report is a more detailed submission required when you earn income from that activity and must demonstrate substance.
What does the substance test actually require? Broadly, adequate staff, adequate expenditure and adequate premises in the UAE relative to the activity being carried out. The right level depends on the nature and scale of your business.
